By accessing or using Penda CRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service. These Terms apply to all users, including directors, employees, and clients.
Penda CRM is a Software-as-a-Service (SaaS) platform that provides customer relationship management, job scheduling, mileage tracking, and related features for energy retrofit assessment companies. The Service is provided on a subscription basis and is subject to the pricing plan you select.
You may create an account through invitation from your company administrator or by registering as a company director. You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity. You may terminate your account at any time by contacting us.
Access to the Service requires a paid subscription. Fees are based on your selected pricing plan and are billed monthly or annually as agreed. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
You authorize us to charge your designated payment method on a recurring basis. If payment fails, we may suspend your access to the Service until payment is resolved. We reserve the right to change our fees with 30 days' notice.
Refunds are not provided for partial months or unused portions of your subscription, except where required by UK consumer protection laws or at our sole discretion.
You retain all ownership rights to the data you input into the Service ("Customer Data"). You grant us a limited license to use, store, and process Customer Data solely to provide and improve the Service.
We implement commercially reasonable security measures to protect Customer Data. However, no system is completely secure, and we cannot guarantee the absolute security of your data. You are responsible for backing up any critical data.
Upon termination of your account, we will delete Customer Data within 90 days unless legally required to retain it. You may request an export of your data before termination.
You agree NOT to:
We aim to provide 99% uptime on a monthly basis, excluding scheduled maintenance. However, the Service is provided "as is" and we do not guarantee uninterrupted or error-free operation.
We may perform scheduled maintenance that temporarily interrupts the Service. We will provide reasonable notice of planned maintenance when possible. Emergency maintenance may be performed without notice.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We may also update these Terms as needed.
The Service, including its design, features, code, and content (excluding Customer Data), is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.
The Service may integrate with third-party services (such as Google Maps for mileage calculations). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.
To the maximum extent permitted by UK law:
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.
You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Either party may terminate this agreement at any time. Upon termination, your right to access the Service ceases immediately. We may retain your data for up to 90 days after termination for backup purposes. Sections of these Terms that by their nature should survive termination shall survive, including liability limitations and dispute resolution provisions.
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating formal proceedings, we encourage you to contact us to resolve the dispute informally.
We may revise these Terms from time to time. Material changes will be notified by email or through a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
